5. Intellectual Property

5.1 Website Content

5.3 Pre-existing Materials and Tools

LOST CIRCLE LTD retains ownership of any pre-existing materials, tools, frameworks, methodologies, libraries, or intellectual property used in providing services. We grant Clients a non-exclusive license to use such materials solely in connection with the Work Product delivered under the applicable Service Agreement.

6. Fees and Payment

Fees for our services are specified in the applicable Service Agreement. The following terms apply unless otherwise agreed in writing:

• Fees are due as specified in the Service Agreement
• Late payments may incur interest charges at the rate specified in the Service Agreement or as permitted by UK law
• All fees are exclusive of VAT, which will be added where applicable
• We reserve the right to suspend or terminate services for non-payment, subject to the terms of the Service Agreement

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives termination of the Service Agreement and these Terms.

Confidential information does not include information that: (a) is publicly available or becomes publicly available through no breach of confidentiality, (b) was known to the receiving party prior to disclosure, (c) is independently developed without use of confidential information, or (d) is required to be disclosed by law or court order.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be performed with reasonable skill and care. Any defects in Work Product will be remedied at no additional cost if reported within 30 days of delivery, subject to the terms of the Service Agreement.

8.2 Website Disclaimers

9. Limitation of Liability

To the maximum extent permitted by English law:

• Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
